By accessing, browsing, or using our Services in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

3.3 Service Availability
We do not guarantee 100% uptime. We aim for 99.5% uptime but may perform maintenance, updates, or experience technical issues that cause temporary unavailability. We will provide notice of scheduled maintenance when practicable.
3.4 Beta Features
Some features may be marked as “beta,” “experimental,” or “preview.” These features may be unstable and are provided without warranties. We may modify or discontinue beta features at any time.
4. User Responsibilities and Conduct
4.1 Prohibited Activities
You agree not to use our Services for any illegal, harmful, or unethical purpose. Specifically, you will not:
Illegal Activities:
- Violate any federal, state, local, or international law or regulation
- Use our Services to commit fraud, money laundering, or other financial crimes
- Circumvent sanctions or export controls
- Engage in human trafficking, child exploitation, or abuse
Harmful Content:
- Upload, post, or transmit malware, viruses, worms, or other destructive code
- Attempt to exploit security vulnerabilities or reverse-engineer our Services
- Conduct denial-of-service (DDoS) attacks or other cyberattacks
- Harass, threaten, defame, or discriminate against individuals
- Post obscene, defamatory, hateful, or abusive content
- Post content that violates intellectual property rights
System Abuse:
- Attempt unauthorized access to our systems or other users' accounts
- Use automated tools (scrapers, bots) to extract data without authorization
- Spam, phishing, or social engineering attempts
- Excessive server load or resource consumption
- Circumvent security measures or access controls
Business Misuse:
- Use our Services for commercial purposes beyond your license grant
- Resell or redistribute our Services without authorization
- Bypass payment mechanisms or attempt to use Services without paying
- Engage in competitive intelligence gathering or market research using our Services
4.2 Compliance with Laws

5. Intellectual Property Rights

- Analyze Your Content for analytics and optimization
- Store Your Content on our servers
- Share Your Content with other users as permitted by the Services
This license does not constitute a transfer of ownership; you retain all rights to Your Content.
5.3 User-Generated Content in Courses and Communities
For content posted in our courses and community platforms:
- Other users may view and interact with Your Content within the platform
- Your Content may be indexed by search engines unless you opt out
- We may use aggregated, anonymized versions for analytics
- You may delete Your Content at any time through your account settings
5.4 Third-Party Content
Our Services may contain links to or embed content from third parties. We do not endorse third-party content and are not responsible for its accuracy, legality, or intellectual property compliance.
5.5 Feedback and Suggestions
Any feedback, suggestions, or ideas you provide about our Services becomes our property without compensation or obligation to you. We may use such feedback to improve our Services without attribution or further notice.
6. Subscription Plans and Payment Terms
6.1 Subscription Plans
We offer various subscription tiers with different features and pricing. Your subscription grants you access to specified features during the subscription period.
Subscription Fees:
- Subscription fees are disclosed upfront before purchase
- Fees are charged in U.S. dollars (or local currency if available)
- Billing occurs on the date specified during signup and annually thereafter
- Prices may change with 30 days' notice; changes apply to renewals, not current subscription
6.2 Payment Methods

6.3 Billing and Automatic Renewal
Automatic Renewal:
Your subscription will automatically renew at the end of each billing period unless you cancel. To cancel, visit your account settings or email support@josa.ai.
Cancellation:
- You may cancel your subscription at any time
- Cancellation takes effect at the end of your current billing period
- No refunds are issued for partial-month cancellations
- Upon cancellation, your access terminates at the end of the billing period
6.4 Refund Policy
Limited Refund Policy:
- Subscriptions: No refunds for partial-month usage. You may cancel anytime to prevent future charges.
- Courses: Digital courses are non-refundable after purchase. However, if a course is substantially incomplete or unavailable, we may offer a refund at our discretion.
- Consulting Services: Refunds depend on the service agreement and will be determined case-by-case.
Disputed Charges:
If you dispute a charge, contact us within 30 days at billing@josa.ai with documentation of the issue.
6.5 Invoices and Taxes
We will provide invoices for your records. You are responsible for:
- Paying any applicable sales tax, VAT, or similar taxes
- Providing tax documentation (e.g., W-9, tax ID) if required
- Understanding tax implications of your use of our Services
7. Warranties Disclaimer

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING:

- NON-INFRINGEMENT (that our Services do not infringe third-party rights)
- TITLE OR QUIET ENJOYMENT (ownership or uninterrupted use)
- ACCURACY OR COMPLETENESS (of information provided)
- SECURITY (that your data will not be compromised)
- UNINTERRUPTED SERVICE (that Services will always be available)
- ERROR-FREE OPERATION (that all functionality will work perfectly)
7.2 No Warranty of Results
We do not guarantee any specific results from using our Services. Outcomes depend on your implementation, business factors, market conditions, and other variables beyond our control.
7.3 Third-Party Content and Services
We do not warrant third-party content, integrations, or services. Use of third-party tools and services is at your own risk and subject to their terms and policies.
8. Limitation of Liability
8.1 Liability Limitations
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JOSATO GROUP LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business opportunity, or goodwill
- Loss of use, reputation, or other intangible harm
- Cost of substitute services or goods
- Damages arising from or related to:
- Your inability to use our Services
- Unauthorized access or alteration of your data
- Reliance on information provided by our Services
- Errors, omissions, or inaccuracies in our Services
- Third-party content or conduct
- Your use or misuse of our Services
This limitation applies regardless of the legal theory (contract, tort, strict liability) and even if we have been advised of the possibility of such damages.
8.2 Cap on Total Liability
OUR TOTAL, CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF:
- The total amount you paid us in the 12 months preceding the claim, or
- $100.00 USD
If you paid nothing, our liability is capped at $100.00.
8.3 Exceptions to Limitations
These limitations do not apply to:
- Death or personal injury caused by our negligence
- Fraud or willful misconduct
- Statutory rights that cannot be limited under applicable law
- Claims involving gross negligence or willful breach
9. Indemnification
You agree to indemnify, defend, and hold harmless Josato Group LLC and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of our Services in violation of these Terms
- Your violation of any law or third-party right
- Your Content or materials you upload
- Your conduct or statements
- Your interaction with other users
- Claims by third parties related to your account or activity
10. Data Protection and Privacy

Upon termination of your account, we will delete Your Content within 90 days unless we have a legal basis to retain it. Aggregated and anonymized data may be retained indefinitely.

Important Limitations:
- AI outputs may be inaccurate, incomplete, or outdated
- AI should not be relied upon as the sole basis for important decisions
- AI-generated content requires human review before use

- We do not guarantee accuracy or appropriateness of AI outputs
11.2 Human Review Responsibility
You are responsible for reviewing any AI-generated content or recommendations before relying on them. For significant business decisions, consult with qualified professionals.
11.3 Automated Decision-Making
If our Services use automated decision-making to make decisions with significant legal or financial impact:
- You have the right to opt-out and request human review
- You have the right to understand the basis for automated decisions

12. Confidentiality

“Confidential Information” means information marked as confidential or that reasonably should be understood as confidential. This includes:

We will attempt to resolve your dispute within 60 days of receiving your notice.
13.3 Binding Arbitration (Optional)
If you are located in the United States, for any claim you bring (other than claims for injunctive relief), you may elect to resolve the dispute through binding arbitration rather than in court. To elect arbitration:
- Send written notice to legal@josa.ai within 30 days of the dispute arising
- The dispute will be resolved by a single arbitrator under JAMS Streamlined Arbitration Rules
Arbitration Terms:
- Arbitration will be conducted in Polk County, Florida
- Each party bears its own costs, and we split arbitrator fees equally
- The arbitrator's award is final and binding
- Either party may appeal on limited grounds as provided by law
13.4 Jurisdiction and Venue
If arbitration does not apply or is not elected, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Polk County, Florida for any legal proceedings.
13.5 Class Action Waiver
You and Josato Group LLC agree that any dispute will be resolved on an individual basis. You waive the right to participate in class actions, class arbitrations, or representative actions. Disputes must be brought in your individual capacity, not as a plaintiff or member of a class.
14. Export Controls and Sanctions
Our Services and technology are subject to U.S. export control laws, including the Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR). You agree not to:
- Export or re-export our Services or underlying technology to prohibited countries
- Use our Services in connection with prohibited end-uses (nuclear, missile, chemical/biological weapons)
- Provide access to our Services to persons on U.S. government restricted lists (OFAC SDN, Entity List, etc.)
- Use our Services in violation of any embargo or sanctions program
15. Modifications to Terms and Services
15.1 Changes to These Terms
We may modify these Terms at any time. Material changes will be effective 30 days after posting the revised Terms on our website or emailing notice to you. Your continued use of our Services constitutes acceptance of modified Terms.

We may modify, suspend, or discontinue any feature of our Services, with or without notice. If we discontinue a core feature, we will provide reasonable notice.

- Non-payment of fees
16.3 Effect of Termination

- Your right to access our Services immediately ceases
- Any unpaid fees become immediately due
- Your Content will be deleted within 90 days (unless we have a legal basis to retain)

17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements referenced, constitute the entire agreement between you and Josato Group LLC regarding your use of our Services. Any prior understandings or agreements are superseded.
17.2 Severability
If any provision of these Terms is found to be unenforceable, that provision will be reformed to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining Terms will remain in effect.
17.3 Waiver
Our failure to enforce any provision does not constitute a waiver of that provision or any other provision. Waivers must be in writing and signed by both parties.

You may not assign or transfer these Terms or your rights/obligations without our written consent. Any assignment without consent is void. We may assign these Terms to a successor entity.
